TERMS AND CONDITIONS OF SALE - EDITIONS CARTES D'ART


Below are the Terms and Conditions of Sale for the company EDITIONS CARTES D'ART, a limited liability company (SARL) with a capital of €17,715, registered in the Paris Trade and Companies Register under number 304 454 341, and headquartered at 6 rue Asseline, 75014 Paris, France.

Placing an order with the company EDITIONS CARTES D'ART implies full and unconditional acceptance of these Terms and Conditions of Sale.

If any provision of these General Terms and Conditions (GTC) is declared null and void or unenforceable, the other provisions shall remain fully in force.

I - PURPOSE AND SCOPE

These General Terms and Conditions (GTC) apply exclusively to sales made by EDITIONS CARTE d’ART to professional customers acting within the scope of their commercial, craft, or liberal professional activities.

These Terms and Conditions of Sale (TCS) form the basis of the commercial negotiation and are systematically sent or provided to each buyer to enable them to place an order.

The Terms and Conditions of Sale detailed below define the rights and obligations of EDITIONS CARTES D'ART and its client within the framework of the sale of goods by EDITIONS CARTES D'ART.

Any acceptance of the order form, including the clause "I acknowledge that I have read and accept the attached Terms and Conditions of Sale," constitutes the buyer's unconditional acceptance of these Terms and Conditions of Sale.

II - PRICES

The prices of goods sold are those in effect on the date the order is placed. They are expressed in euros and calculated excluding taxes. Consequently, they will be increased by the applicable VAT rate and transport costs on the order date.

The general price list is usually updated on January 1st and July 1st of each year, depending on increases due to monetary fluctuations, rises in raw material costs, transportation, fuel, or other input factors beyond our control. The new prices are available upon explicit request two months before the effective date of the updated pricing.

EDITIONS CARTES D’ART reserves the right to modify its prices at any time, particularly in the event of changes in the cost of raw materials, transportation fees, exchange rates, or any other factor affecting the cost price.

The new prices will be communicated to the Customer by any written means (email, mail, customer portal, catalog, etc.) at least 30 days before their effective date.

Unless the Customer provides written notice of termination before the effective date, the new prices shall be deemed accepted and will apply to all orders placed after that date.

Refer to the price list at the end of this document* for product prices as of January 1, 2026, subject to further modifications.

III - PAYMENT TERMS

 To benefit from the TNSA direct debit payment option at 60 days, the client must provide their IBAN to EDITIONS CARTES D'ART via email. 

  2. Discounts

No discounts will be granted for early payment.

​3. Retention of Title and Return Conditions

​a. Retention of Title:

The transfer of risk of loss or damage to the goods occurs at the time of delivery to the carrier or to the Customer, depending on the applicable Incoterm specified in the order confirmation, notwithstanding the retention of title clause below.

EDITIONS CARTES D'ART retains full ownership of the delivered goods until the complete payment of their price (principal and accessories), pursuant to Article L. 624-16 of the French Commercial Code.

In the event of non-payment by the client at the agreed due date, EDITIONS CARTES D'ART may demand the immediate return of the unpaid goods by registered letter with acknowledgment of receipt. All costs, risks, and liabilities for such a return will be borne by the client.

​b. Terms and Conditions for Returning Goods

​i. Notification of Return

 EDITIONS CARTES D’ART will notify the client in writing (via registered mail with acknowledgment of receipt or email with a confirmation receipt) of the obligation to return the goods concerned.

This notification will specify:

  • A detailed list of the goods to be returned (quantities, references).
  • The deadline for the return (e.g., 15 days from the date of receipt of the notification).
  • The practical arrangements for the return (location, date, times).

​ii. Return Costs

 The costs associated with the return (transport, handling, any customs formalities) will be entirely borne by the client.

If the return terms or deadlines are not respected, EDITIONS CARTES D’ART reserves the right to initiate legal proceedings to recover the goods and to claim damages.

​iii. Condition of Goods

The goods must be returned in their original condition, without damage or alteration, and in their original packaging if available.

In the event of deterioration, EDITIONS CARTES D’ART may refuse the return and demand full payment for the goods or a compensatory indemnity.

​iv. Return Locations and Methods

The goods must be returned either to the warehouses of EDITIONS CARTES D’ART or to any other location specified in the return notification.

If the client is unable to return the goods by their own means, EDITIONS CARTES D’ART may organize the transportation of the goods, at the client's expense.

​v. Objection to Return

The client agrees not to obstruct the return of unpaid goods, even in the event of a claim or dispute regarding another part of the order.

Any unjustified objection to the return may result in additional penalties and legal proceedings.

​vi. Consequences of Return

The return of unpaid goods does not automatically terminate the contract. EDITIONS CARTES D’ART reserves the right to pursue legal action against the customer to claim the unpaid balance, as well as damages for any losses incurred (e.g., lost profits, collection costs) or payment of any outstanding amounts due under overdue invoices.

​4. Late Payment

Any late payment will automatically incur, without prior notice, late payment penalties calculated at three times the legal interest rate applicable to commercial debts, on the outstanding amount including VAT, from the day after the due date indicated on the invoice until full payment is received.

Additionally, a fixed indemnity of €40 for collection costs will automatically be due per invoice paid late, in accordance with the French Commercial Code, without prejudice to EDITIONS CARTES D’ART’s right to claim further compensation, particularly upon presentation of evidence if the actual collection costs incurred are higher.

​5. Termination Clause

If within fifteen days of the implementation of the "Late Payment" clause, the buyer has not settled the outstanding amounts, the sale will be automatically terminated. This termination may also entitle EDITIONS CARTES D’ART to claim damages.

​6. Rejected SEPA Payments

All rejected SEPA direct debits will result in a financial fee of €35 per rejection, except for reasons corresponding to codes 02, 12, 16, 32, 35, and 71.

​2. Shipping – Deliveries: 

We handle backorders unless the Client requests otherwise.

In the event of a damaged package during transport, it is the recipient's responsibility to make detailed reservations on the delivery slip at the time of receipt and send it to us (with photos) by email at info@cartesdart.fr within 7 business days. This allows us to file a claim with our carrier.

Deliveries are made in accordance with the Incoterms 2020. The applicable Incoterm (EXW, FCA, DDP, or DAP) will be specified in the commercial offer or order confirmation.

The choice of Incoterm is determined based on the geographic location of the delivery address (or collection address, if applicable) provided by the Client when placing the order.

​a.  EXW (Ex Works):

The EXW Incoterm applies when the Client arranges for the collection of goods from the EDITIONS CARTES D’ART warehouses using their own carrier. The transportation risk is fully transferred to the buyer as soon as the goods are made available at the warehouse. All transport and import-related costs are borne by the buyer.

​​b. FCA (Free Carrier):

The FCA Incoterm applies when the Client requests delivery to their freight forwarder whose delivery address is located within one of the geographic zones specified in section IV.1 above: “Metropolitan France”* or “European Union (EU)*”.

  • If the order amount reaches the required threshold for free carriage, shipping costs to the forwarder will be borne by EDITIONS CARTES D’ART (refer to the table in “1. Delivery Terms by Geographic Zone”).

Otherwise, the shipping costs will be charged to the Client.

​c. DAP (Delivered At Place):

The DAP Incoterm applies to orders deliverable:

  •  Outside the geographic zones “Metropolitan France”* and “European Union (EU)*” (as defined in section IV.1 above), or 
  • When the order does not meet the required thresholds for free carriage (as defined in the table “Delivery Terms by Geographic Zone”).

In this case: Shipping costs will be charged to the Client by EDITIONS CARTES D’ART, and any customs duties related to importation will be entirely borne by the Client.

​d. DDP (Delivered Duty Paid):

The DDP Incoterm applies to all orders deliverable within the geographic zones “Metropolitan France”* and “European Union (EU)*” (as defined in section IV.1 above) when:

  •  The order amount exceeds the thresholds required for free carriage (as defined in the table “Delivery Terms by Geographic Zone”).

In this case: Shipping costs will be borne by EDITIONS CARTES D’ART.

​3. Delivery Times: 

The delivery time indicated at the time of order registration is provided for information only and is not guaranteed.

Consequently, any reasonable delay in the delivery of products, meaning a delay of approximately 60 days, shall not entitle the buyer to claim damages.

Delivery times are not contractual and are given for guidance only, generally around 8 days.  

Moreover, a delivery delay of less than 15 days shall not entitle the buyer to cancel the order. For delays exceeding 15 days, and in the case of seasonal merchandise, the Client must notify EDITIONS CARTES D’ART by registered mail to cancel the order.

​4. After-Sales Service: 

Any claim regarding an apparent defect, missing items, or non-conformity of the delivered products (excluding transport issues) must be submitted in writing within 7 working days of receipt of the products to the following address:  info@cartesdart.fr specifying the references concerned, quantities, and attaching photographs.

Claims will be processed within 7 business days of receiving the request.

 Failure to submit a claim within this timeframe will result in the products being deemed conforming and free from any apparent defect.

 In the event of a claim recognized as valid by EDITIONS CARTES D’ART, its liability shall be limited, at EDITIONS CARTES D’ART’s discretion, to either replacing the non-conforming products or issuing a credit note for the invoiced price of said products, excluding any further compensation.  


V - FORCE MAJEURE

EDITIONS CARTES D’ART shall not be held liable if the failure or delay in performing any of its obligations under these General Terms and Conditions arises from a case of force majeure. In accordance with Article 1218 of the French Civil Code, force majeure refers to any event beyond the reasonable control of the invoking party, which could not have been reasonably foreseen at the time of contract conclusion and whose effects cannot be avoided by appropriate measures, thereby making it impossible to fulfill its obligations. Examples include, but are not limited to: strikes, pandemics, adverse weather conditions, natural disasters, sudden government decisions, etc. This list is indicative and not exhaustive. Any similar event meeting the criteria of force majeure may be invoked. 

 

VI - COMPETENT COURT

All disputes arising from the interpretation or execution of these Terms and Conditions of Sale are subject to French law.

Failing amicable resolution, the dispute shall be submitted to the Commercial Court of Paris.


VII - CONFIDENTIALITY

​1. Purpose of Confidentiality

Within the framework of their commercial relations, the parties (hereinafter referred to as the "Seller" and the "Client") undertake to maintain the confidentiality of all information exchanged between them, whether technical, commercial, strategic, financial, or otherwise, and which is not publicly accessible (hereinafter referred to as "Confidential Information").

​2. Obligations of the Parties

The parties agree to:

  • Use the Confidential Information solely within the scope of their commercial relations.
  • Not disclose, transmit, or make available the Confidential Information to third parties, by any means whatsoever, without the prior written consent of the other party.
  • Protect the Confidential Information with the same level of care as they use to protect their own confidential information and, in any case, with reasonable care.

​3. Exclusions

The following information is not considered Confidential Information:

  • Information that has entered the public domain independently of any fault or negligence on the part of the receiving party.
  • Information already known to the receiving party before it was communicated by the other party.
  • Information lawfully obtained from third parties without an obligation of confidentiality.
  • Information that must be disclosed under a legal, regulatory, or judicial obligation, provided that the compelled party informs the other party prior to any disclosure, insofar as possible.

​4. Duration of the Confidentiality Obligation

The confidentiality obligation takes effect from the date of the establishment of the commercial relationship between the parties and will continue:

  • For the entire duration of the commercial relationship.
  • And for a period of 5 years after its termination, unless otherwise provided by law or written agreement between the parties.

​5. Return or Destruction of Information

At the end of the commercial relationship, upon request from either party, all copies of Confidential Information (in paper or electronic format) must be returned or destroyed, unless there is a legal or regulatory obligation to retain them.

​6. Penalties for Breach

In the event of a breach of this clause, the aggrieved party may hold the defaulting party liable and seek compensation for the damage suffered. This compensation may include, but is not limited to, damages.

​7. Scope of the Clause

This confidentiality clause applies to all information exchanged between the parties, including information shared before the date of signature of these terms and conditions or a specific contract.

VIII – SPINNER DISPLAYS


8.1 – Display provided on consignment


As part of the promotion and replenishment of Cartesdart collections, ​

EDITIONS CARTES D’ART may provide the Client with a spinner display (hereinafter

the “Display”) on a consignment basis, to facilitate the presentation and sale of Cartesdart products

within the Client’s point of sale.

This provision is made on a temporary basis and does not entail any transfer of ownership to

the Client.

​8.2 – Ownership of the Display


The Display shall remain at all times the exclusive property of EDITIONS

CARTES D’ART.​

The Client shall not sell, transfer, lend, lease, pledge or otherwise dispose of

the Display, in whole or in part, to any third party.


​8.3 – Usage exclusif Cartesdart


The Display is strictly reserved for the presentation, promotion and sale of

Cartesdart collections.

The Client is expressly prohibited from using the Display to exhibit or sell products

from any other supplier, brand or publisher.

In the event of non-compliance, EDITIONS CARTES D’ART reserves the right

to demand the immediate return of the Display, without prejudice to any damages it may

claim.


8.4 – Maintenance, loss and damage


The Client shall keep the Display in good condition, use it for its intended purpose, and promptly report any

deterioration, loss or theft to EDITIONS CARTES D’ART.

In case of loss, theft or damage attributable to the Client, EDITIONS CARTES D’ART may

invoice the Client for the replacement value of the Display, based on the current tariff,

without prejudice to any additional damages.


8.5 – Return of the Display


EDITIONS CARTES D’ART may at any time, notably in the event of termination of the commercial relationship,

absence of restocking of Cartesdart collections, breach of these General Terms and Conditions of Sale, or

reorganisation of its distribution network, require the return of the Display.

The Client agrees to return the Display, in good working condition (normal wear and tear excepted),

within a maximum of 15 days from EDITIONS CARTES D’ART’s written request,

either to EDITIONS CARTES D’ART’s premises or to any other location specified by the company.

Failure to return the Display within this period may result in EDITIONS CARTES D’ART invoicing the Client

for the replacement value of the Display, without prejudice to any further legal action.

IX – PERSONAL DATA

In the context of order management, invoicing, commercial follow-up, and prospecting, EDITIONS CARTES D’ART collects and processes personal data relating to the Client’s contacts (name, first name, contact details, job title, etc.).

This processing is carried out in compliance with applicable data protection regulations, in particular Regulation (EU) 2016/679 of 27 April 2016 (the "GDPR") and the amended French Data Protection Act (Loi Informatique et Libertés).

The data is retained for the duration of the commercial relationship, extended by the applicable statutory limitation periods.

Data subjects have the right to access, rectify, erase, restrict processing, and object on legitimate grounds, as well as the right to data portability concerning their personal data. These rights may be exercised by contacting: rgpd@cartesdart.fr .

They also have the right to lodge a complaint with the CNIL.

 

X – INTELLECTUAL PROPERTY​

L’ensemble des créations, dessins, illustrations, modèles, marques, logos, conditionnements, textes et, plus généralement, tous les éléments protégés par un droit de propriété intellectuelle figurant sur les produits EDITIONS CARTES D’ART ou sur leurs supports de présentation demeurent la propriété pleine et entière d’EDITIONS CARTES D’ART ou de ses ayants droit.

The Customer is only authorized to sell the products in their original packaging and to display them at their point of sale, in compliance with the brand image of EDITIONS CARTES D’ART.

Any reproduction, representation, adaptation, modification, use, distribution, exploitation, or extraction, in whole or in part, of these elements, by any means and on any medium whatsoever, not expressly authorized in writing by EDITIONS CARTES D’ART, is strictly prohibited and may result in legal proceedings.

 

XI – DETERMINING CLAUSE — Authorized Point of Sale – Non-transfer – New Address

Sales and deliveries are granted exclusively for the point of sale declared by the Customer at the time of account opening and expressly approved by EDITIONS CARTES D’ART. Each point of sale constitutes a separate establishment in terms of the commercial relationship.

The Customer shall not transfer, redistribute, or arrange delivery of the ordered goods to another establishment, store, branch, or point of sale, whether operated directly or indirectly, without the prior written consent of EDITIONS CARTES D’ART.

Any opening, takeover, or operation of a new point of sale by the Customer must be notified without delay in writing to EDITIONS CARTES D’ART. Any request for delivery to a new address must be subject to prior approval. EDITIONS CARTES D’ART reserves the discretionary right to accept or refuse delivery to this new point of sale, without having to justify its decision and without such refusal giving rise to any compensation or indemnity for the Customer.

In the event of unauthorized delivery, transfer, or redistribution of goods to another point of sale, EDITIONS CARTES D’ART may, as of right and without prior notice, suspend ongoing deliveries and/or terminate the commercial relationship, without prejudice to any damages it may claim.

The general terms and conditions have been communicated to and accepted by the client.
